Center Laboratories (晟德) announced its support for a voluntary conditional cash offer from WuXi XDC (藥明合聯) to acquire at least 60% of BioDlink International (東曜藥業). As a founding shareholder, Center Labs plans to divest up to 26.71% of its stake, expected to recoup approximately NT$3.35 billion in capital with a disposal gain of roughly NT$750 million.

Strategic Transformation & M&A Logic:

• Evolution into ADC CDMO: Initially a developer of oncology drugs, BioDlink International pivoted toward a one-stop ADC (Antibody-Drug Conjugate) CDMO platform under the strategic guidance of Center Labs in 2020. The company successfully turned profitable in 2024.
• Platform Consolidation: Given the global trend toward "end-to-end" pharmaceutical outsourcing, integrating BioDlink International into the WuXi Biologics ecosystem (a global CRDMO leader) will provide TOT with superior resource support and a wider international client base.
• Capital Reallocation: Center Labs Chairman Wang Su-chi and President Lin Jung-chin emphasized that this exit fulfills their mission of nurturing high-potential firms. Center Labs will now re-focus its biologics CDMO resources on Mycenax Biotech (永昕) and Krisan Biotech (建誼), using Japan as a strategic springboard for further global market expansion.
