Ever Supreme Bio Technology Completes $1.7 Billion Acquisition of Shine Out Biotechnology to Enter Exosome Drug DevelopmentOct 03, 2025

OTC-listed regenerative medicine leader Ever Supreme Bio Technology announced on October 2 that it will fully acquire Shine Out Biotechnology by issuing 0.333 new ordinary shares for each ordinary share of Shine Out, with the total deal valued at approximately NT$1.7 billion. The acquisition will expand Ever Supreme’s presence in exosome-based new drugs and neurodegenerative disease therapies. The share swap is scheduled to be completed on January 13, 2026.

Chairman Liu Chu-Chi stated that exosomes and cell therapy will be the core of biotechnology over the next decade. This acquisition combines the technical and R&D strengths of both companies, allowing Ever Supreme to extend its expertise from cancer immunotherapy to neurodegenerative diseases. By leveraging international GMP standards and a strong patent portfolio, the integration is expected to enhance Ever Supreme’s global R&D and commercialization competitiveness.

Founded in 2023, Shine Out currently has a paid-in capital of NT$280 million. Based on the share swap ratio, Ever Supreme will issue 9,324,000 new shares to all Shine Out shareholders, raising capital by NT$93.24 million. After the conversion, Ever Supreme’s paid-in capital will increase to NT$969,209,630. The share swap requires approval from Shine Out’s extraordinary general meeting and regulatory authorities before execution.

Ever Supreme noted that although Shine Out has only been in operation for two and a half years, it has already made significant strides in exosome technology, with two core technology platforms and three key patents. Using gene engineering and artificial intelligence (AI) drug design software, Shine Out has developed an exosome drug platform capable of targeting neural cells and crossing the blood-brain barrier (BBB), enabling precise delivery of small molecules or nucleic acid drugs to the brain. This platform offers new therapeutic opportunities for Parkinson’s disease, Alzheimer’s disease, stroke, and spinal cord injury.

Shine Out’s two core technologies include dopamine transporter exosomes (dEV), designed for Parkinson’s disease treatment, and integrin exosomes (iEV), aimed at central nervous system diseases and currently in preclinical development. Animal studies have shown promising efficacy, demonstrating the platform’s breakthrough drug delivery capabilities.

Shine Out plans to initiate Pre-IND meetings for two new drugs with the U.S. FDA by the end of 2025 and complete patent coverage in the U.S., Europe, Japan, China, Australia, and Taiwan.

Ever Supreme emphasized that the acquisition will deeply integrate Shine Out’s exosome drug platform with its existing cell therapy technologies, creating a dual-core focus on cancer immunotherapy and neurodegenerative disease treatment. The company will simultaneously develop cell therapy and neuro-targeted exosome platforms, establishing a comprehensive new drug R&D pipeline spanning cancer and neurodegenerative diseases.

According to research reports, the global neurodegenerative disease treatment market reached US$51.2 billion in 2023 and is projected to grow to US$96.4 billion by 2032, with a CAGR of 7.4%. Neurodegenerative diseases are not only an urgent global public health challenge but also a high-potential pharmaceutical and investment market.
