On [specific date], the long-established pharmaceutical company, China Chemical & Pharmaceutical, officially transitioned into a holding company, China Chemical & Pharmaceutical Holdings (CENRA), in accordance with corporate merger regulations. It was listed on the stock market at NT$42.3 per share, becoming the second pharmaceutical holding company to be listed on the Taiwan Stock Exchange. The original China Chemical & Pharmaceutical stock was delisted and became a wholly-owned subsidiary of CENRA. CENRA also encompasses other subsidiaries such as Chunghwa Yuming Healthcare, which focuses on pharmaceutical distribution, Chunghwa Senior Care, which specializes in elderly care, and Suzhou Chunghwa, which is responsible for the Chinese market.
Founded in March 1952, China Chemical & Pharmaceutical is one of Taiwan’s top three reputable pharmaceutical companies. For the first seven months of this year, the company reported consolidated revenues of NT$5.166 billion, a year-over-year increase of 4.94%. Its net profit after tax for the first half of the year was NT$186 million, a year-over-year increase of 21.5%, with earnings per share (EPS) of NT$0.62. At the shareholders' meeting in May, it was resolved that one common share of China Chemical & Pharmaceutical would be exchanged for 0.5 common shares of CENRA. CENRA’s listed capital amounts to NT$1.49 billion.
The Chairperson of CENRA is Wang Hsieh I-Chen, while the CEO and General Manager is Wang Hou-Kai, who transitioned from his role at China Chemical & Pharmaceutical. To comply with regulations, CENRA’s first subsidiary is the newly established China Chemical & Pharmaceutical, focused on R&D and manufacturing. Following this, Chunghwa Yuming Healthcare, which focuses on pharmaceutical distribution, and Chunghwa Senior Care, which targets the elderly care sector, will also be established. The sub-subsidiaries include Chunghwa Chemical Synthesis & Biotech, Tairung Enterprise, Chunghwa Biomedical Technology, and Suzhou Chunghwa.
CENRA’s name is derived from the combination of the English word "Center" and the Latin word "Cura," which means care, concern, and treatment. The Chinese name continues to carry the trusted "China Chemical" brand, reflecting the group’s founder Wang Min-Ning’s dedication to research and development, and the commitment to benefiting society with a focus on health.
Personnel-wise, Wang Hou-Kai, who has extensive experience in international investment banking, private equity, and industrial mergers and acquisitions, has taken on the role of CEO at CENRA. He previously worked in the M&A division of Lazard Frères & Co. in the United States, as well as in private equity investment teams at Barings Asia and KKR. He will lead new investments across various industries, including healthcare.
The core management team includes Wu Chih-Yung, General Manager of China Chemical & Pharmaceutical, Lin Hsu-Hui, General Manager of Chunghwa Yuming Healthcare, and Lee Tsung-Yung, General Manager of Chunghwa Senior Care. Notably, Lin Hsu-Hui recently retired from Novartis after 34 years of experience in foreign company management and joined Chunghwa Yuming Healthcare in February, officially taking over as General Manager in May.
Wang Hou-Kai stated that transitioning to a holding company marks a new milestone for the group. Moving forward, the company will focus on three main pillars: “Strategic Focus,” “Operational Optimization,” and “Digital Leadership.” This will involve advancing segmented management, integrating resources, and building a diversified holding platform to enhance the operational efficiency and scalability of each business unit.
Regarding strategic focus, Wang emphasized that CENRA will prioritize formulating and managing the group’s overall strategy. The holding platform will concentrate on strategic planning to ensure the orderly and effective allocation of resources to its subsidiaries and affiliated companies. The goal is to implement customer-oriented pharmaceutical and healthcare solutions based on market demand, adjust the optimal product and service mix, and maximize resource efficiency.
In terms of operational optimization, Wang noted that the past three years have seen the initiation of operational upgrades and organizational renewal plans. These include establishing new departments to improve organizational structure and optimizing procurement and sales processes. The goal is to continuously build CENRA’s subsidiaries into the most trusted partners for domestic and international clients, laying a solid foundation for future investment and international expansion.
On digital leadership, Wang emphasized that digitalization is essential for corporate transformation. Currently, CENRA is introducing digital systems and processes across four key areas: "Customer Experience," "Technology Upgrades," "Information Security," and "Data-Driven Decision-Making." This aims to improve decision-making quality, operational efficiency, and create long-term competitive advantages.
Looking ahead, Wang stressed that the rapidly changing global economic landscape presents both challenges and opportunities. CENRA will uphold its founding principles, methodically leading its subsidiaries and affiliated companies towards sustainable development, while awaiting opportunities for organic or inorganic growth to achieve synergistic effects greater than the sum of its parts.
